Terms of Service

1. Acceptance of Terms

By accessing or using HoodServe (the "Platform"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree, do not use the Platform. These Terms apply to all visitors, subscribers, employees added to subscriber accounts, and anyone who interacts with a website or form powered by the Platform.

2. What HoodServe Is

HoodServe is a subscription-based software platform (CRM) that provides independent service businesses — including but not limited to cleaning companies, lawn care providers, handyman services, and personal care businesses — with tools to manage their operations. These tools include:

HoodServe is not a service provider, staffing agency, or marketplace. We do not employ, supervise, refer, or dispatch workers. We do not take commissions on jobs. We do not sell leads. We provide software tools that businesses use to run their own operations.

8. Intellectual Property

The Platform, including its design, code, features, and content created by HoodServe, is and remains the exclusive property of HoodServe and its licensors. You may not copy, reproduce, distribute, or create derivative works from any part of the Platform without prior written consent.

Content you create within the Platform — such as your business listings, service descriptions, blog posts, and client data — remains your property. You grant HoodServe a limited license to store, display, and process that content solely to provide the Platform services to you.

HoodServe's name, logo, and brand assets may not be used without prior written permission.

9. Disclaimers

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. HOODSERVE MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT GUARANTEE THAT THE PLATFORM WILL MEET YOUR SPECIFIC BUSINESS REQUIREMENTS OR THAT IT WILL BE AVAILABLE AT ALL TIMES.

HOODSERVE IS NOT RESPONSIBLE FOR THE QUALITY, SAFETY, LEGALITY, OR DELIVERY OF SERVICES PERFORMED BY ANY SUBSCRIBING BUSINESS OR THEIR EMPLOYEES.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HOODSERVE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF REVENUE, DATA, OR BUSINESS OPPORTUNITIES — ARISING FROM YOUR USE OF OR INABILITY TO USE THE PLATFORM.

IN NO EVENT SHALL HOODSERVE'S TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) $100 OR (B) THE TOTAL SUBSCRIPTION FEES YOU PAID TO HOODSERVE IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to defend, indemnify, and hold harmless HoodServe and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law or third-party rights; or (d) any services you provide to your clients through the Platform.

12. Dispute Resolution & Arbitration

Informal Resolution First. Before initiating any formal proceeding, you agree to contact us at legal@hoodserve.com and give us 30 days to attempt to resolve the dispute informally.

Binding Arbitration. If informal resolution fails, any dispute arising out of or relating to these Terms or the Platform shall be resolved by binding individual arbitration under the rules of the American Arbitration Association (AAA), not in court, except for claims that qualify for small claims court.

Class Action Waiver. You agree to resolve disputes only on an individual basis. You waive any right to bring or participate in a class action or representative proceeding.

Opt-Out. You may opt out of arbitration by sending written notice to legal@hoodserve.com within 30 days of first accepting these Terms. Your notice must include your name, account email, and a clear statement that you are opting out.

13. Termination

You may cancel your subscription at any time via your account dashboard.

We may suspend or terminate your account immediately if you materially breach these Terms, engage in fraudulent activity, or pose a risk to the security or integrity of the Platform. We will attempt to notify you unless doing so would cause harm or is prohibited by law.

Upon termination, your right to access the Platform ends. You may request an export of your data within 30 days of termination. Sections 8, 9, 10, 11, 12, and 14 survive termination.

14. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. To the extent arbitration does not apply, you consent to exclusive jurisdiction in the courts of Delaware.

15. Changes to Terms

We may update these Terms from time to time. For material changes, we will notify active subscribers by email at least 30 days before the change takes effect. The updated Terms will be posted on this page with a revised "Last Updated" date. Continued use of the Platform after the effective date constitutes your acceptance.
